Our concern is providing solutions for the general needs of all sectors or industries having to do with Tools & Equipment. This we tend to achieve with our very distinctive core area of undertakings:

a]. BUY: See listings from multi-vendor stores, where you can source (stress-freely) for your Tools and Equipment needs. 

b]. SELL: Create, Own, Equip, and Manage your (online) Tools and Equipment store.

c]. LEASE: Connect with those who Lease/Rent Tools and Equipment on [both] a short and long-term basis.

Notwithstanding the foregoing, general purpose internet search engines and non-commercial public archives that gather information for the sole purpose of displaying hyperlinks to the Service, provided they each do so from a stable IP address or range of IP addresses using an easily identifiable agent and comply with our Service, may engage in the activities herein set forth. 

For the purposes of this exception, a “general purpose internet search engine” does not include a website or search engine or other service that specializes in classified listings including any subset of classifieds listings such as housing, for sale, jobs, services, or personals, or which otherwise provides classified ad listing services. The license set forth in this Section permits you to display on your Website, or create a hyperlink thereto, for individual postings on the Service so long as such use is for non-commercial and/or news reporting purposes only (e.g., for use in personal blogs or other personal online media). Toolz.ng may limit the amount of postings displayed on or linked to your Website. Use of the Service beyond the scope of authorized access as set forth in these Terms immediately terminates any permission or license granted herein. In order to collect, aggregate, copy, duplicate, display or make derivative use of the Service or any “Content” made available via the Service for other purposes (including commercial purposes) not stated herein, you must first obtain a license from Toolz.ng.

REGISTRATION

You must have to complete and submit the registration form(s) provided on our Website. Provide all the required information, which may include (but, without limitation) to:

Business/Company – name, registration details, document uploads, verifiable operational address, live picture(s) of shop or business premises, contact person’s details (name, address, phone numbers, emails, valid ID); proposed marketplace store name, handler(s) names, address, phone numbers, emails, valid ID, etc.

b]. Individual – proposed marketplace store name, personal information (names, verifiable address, phone numbers), email, live picture, valid ID, etc.

You may, also, be prompted to fill. sign or represent a warrant (affidavit) affirming that all information provided in the registration form is complete and accurate.

DUE DILIGENCE

For the purpose of building trust, mutual understanding, reliability, etc., Toolz.ng – in line with its various “Know-Your-Customer – KYC” and “Know-Your-Partner – KYP” processes (especially, with the sellers), reserves the sole right to carry out due diligence checks prior to your final approval. These may include (but, without limitation to):

a]. verification of all claims – information, documents, etc., made available by you.

b] physical access/visit to your business premises or residence,

c]. community relations audit, to assess your popularity, genuity, integrity, etc. 

GOOD-TO-GO

At the completion of your registration, you will be able to have a User ID and Password issued to or generated by you, which gives you the exclusive right to manage your store. Your account is solely yours, therefore, shall be used exclusively by you and shall not be transferred to any third party. You can create more stores as extension, instead!

Please note that your password is like the entry key to your treasure house. Keep it confidential; do not disclose – except for a reliable partner. You may be held responsible or accountable for any losses or damages caused by your failure to safeguard your password.

LISTING

As a reputable company built on legitimacy and legality; Toolz.ng seeks to operate a safe, secured and reliable Marketplace, devoid of scam, fraud, theft, or any criminal activity. As part of measures to achieve this, all products/services listings must be genuine, with traceable and verifiable sources, to curtail and/or avoid any misrepresentation or misinformation, which will lead to unnecessary disappointment, rejection, bad review, lack of trust and reliability, etc.

Furthermore, as a system running a process with zero empathy for any form of crime or criminality; Toolz.ng, hereby, unequivocally, dissociates itself from any form of abuse of this platform, in the form or intent to carry out any unlawful activity, including (but, without limitation to) theft, fraud, scam, counterfeiting, money laundering, etc. Any detection or report for such activities, will be channeled to the relevant authorities for immediate action. 

In the case of counterfeited or stolen product or brand detected after delivery, the material shall be returned and kept in Toolz.ng’s warehouse for reference purposes or as an exhibit. The seller shall forfeit both the material and monetary value of the product, and shall refund (without delay) all charges incurred in the process of the transaction, including (but, without limitations to) the money paid by the buyer. Toolz.ng shall investigate and suspend or remove (if found culpable) the seller’s account, and shall render every helpful assistance should the brand/product owner decide to initiate a legal process against the seller.

PRICING

All prices of products and services, except otherwise stated, shall be in Nigerian Naira & kobo, and shall be stated exclusive of taxes or any other charges. All applicable taxes or charges relevant to the transaction shall be incorporated and automatically charged at checkout point. This means, you shall be solely responsible for setting the price of your products on the Website, which may be updated from time to time, through the Website, including for the purpose of promotions, seasonal sales or other discounts. Toolz.ng reserves the right to notify you or outrightly pull down your listing, in the case where it discovers a typo error in pricing or some pricing suggesting to be relatively lower than necessary. All pricing shall be in accordance, and compliance with all applicable laws.

SHIPPING COSTS

Calculation of shipping cost shall be done manually, and to be paid by the buyer, or otherwise agreed. Factors enabling this includes, weight, volume, distance, express delivery, etc. The seller, however, shall be responsible for shipping the sold item(s) up to Toolz.ng’s designated Drop-off points.

ORDER CONFIRMATION, PACKAGING & DELIVERY

At the receipt of a confirmation of sale/order from Toolz.ng, the seller shall: 

a). proceed with the processing – arranging, inspecting, packaging and labelling the products, in full compliance to our Packaging Rules.

b). dispatch without delay, and ensure the package is delivered at the drop-off point closest to them. This must beat the record time and must be done during work hours, except otherwise agreed.

c). shall bear and retain the ownership title of the products (though now in the custody of Toolz.ng’s) until the buyer pays for them in full, and delivery processes to the buyer duly completed; the ownership title, then automatically transfers to the buyer.

OUR RESPONSIBILITY

At the receipt of your package at our drop-off point, we may activate our Quality Control/Assurance (QC/A) process, to inspect the products quality and standard compliance, and we reserve the right to return to you any product(s) not meeting any or all of the various requirements set out by Toolz.ng in these Terms.

The risk of loss or damage to any or all the products, from the time it is duly confirmed at the drop-off point. and up to delivery to the buyer, shall be on us. However, our liability to you in respect to this, shall be limited to the cost price of the product(s), and shall be subject to the further limitations and exclusions on liability as provided in the general terms and conditions.

We may (without prejudice to all our rights) bill you for: 

a). non-compliance or conformity to any of the rules, 

b). costs incurred as a result of further fortification or improvement of your product or poor packaging

c). penalties in respect to breaches of the general terms and conditions.

CHARGES – COMMISSIONS & FEES

Toolz.ng has placed a zero-charges policy on subscriptions on its sites; this means, unless otherwise stated, all transactions (product and services) on Toolz.ng sites and platforms are free. You shall, however, be responsible for all applicable transactional or monetary policies placed by law or relevant authorities. This includes (but without limitation to) relevant bank charges, stamps, duties, etc.

Please note that Toolz.ng reserves the right to introduce, set aside, modify or change its policies (without limitation to charges of commissions and fees) from time to time, without notice to you. 

REMITTANCES

Toolz.ng shall receive payments from buyers for orders of products and services initiated and fulfilled using the website or other approved channels, and shall (within seven days of the fulfillment and confirmation of the delivery by the buyer) remit the funds to the seller after all applicable deductions including (but, without limitation to) bank charges, penalties, reimbursements/refunds, commissions – where applicable, debt, etc.) have been completed,

You shall be issued an evidence of payment or payment advice with details of the payment made to you via the seller bank account submitted by you.

You shall, in the case of any disputes or unsatisfaction, send an email or contact the relevant customer service channels for complaint and rectification.

Your payment may be delayed or suspended, if indicted or under investigation for any form of breach of these policies or criminal activity.

PRODUCT WARRANTY, RETURNS AND REFUNDS POLICY

While some manufacturers offer warranty on their products for a specific period, others, for some experiential reasons decline such gestures. Toolz.ng, however, may offer warranty on some of these products not covered by the manufacturers. Terms & Conditions apply!

RETURNS

We offer a 7-day return policy for all products sold directly by Toolz.ng. If something goes wrong with an eligible product and you notify us within 7 days of receiving the item, we will help you to reach a satisfactory resolution such as a return for repair, replacement, exchange, or refund. After 7 days, our return policy expires and refunds, returns & exchanges are no longer covered. However, if you are dissatisfied with an item for any reason and the return period has elapsed, you can still contact us via WhatsApp, or [email protected], with [email protected] in copy, and we will try to help in any way we can. If the product has a manufacturer’s warranty that is still active after the return time-frame has elapsed, the buyer should contact us via the same medium. We will communicate such complaint to the manufacturer, if we have direct dealership arrangement with them and follow up, to ensure it is resolved. Please note that all returned products undergoes inspection – packaging, body, accessories/parts, usage, etc. Where there are evidences of misuse, improper/poor handling, breakage, wear/tear, loss of accessories or parts, etc., or, where the defect is not covered by the manufacturer’s warranty; Toolz.ng will neither be held responsible for/or partake in the cost of returns or repairs, nor replace or issue refunds for the said item(s). The buyer takes full responsibility for the shipping cost and/or cost of repair, while Toolz.ng assists technically. 

REFUNDS/REPLACEMENT of PRODUCTS

Once your returned item is received and inspected, we will communicate to acknowledge receipt of the returned item, the result of its inspection, and status of refunds. If approved, your refund will be processed via an agreed method of payment within a stipulated period. For replacement or exchange requests on eligible items, with no defects, you will be entitled to a replacement or exchange.

Further, at its sole discretion, Toolz.ng reserves the right to decide whether any Content is appropriate and complies with these Terms.

You agree, while using our platforms, not to post, email, host, display, upload, modify, publish, transmit, update or share any information on the Site, or otherwise make available Content that violates any law or regulation;

i. that is copyrighted or patented, protected by trade secret or trademark, or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission or a license from their rightful owner to post the material and to grant Toolz.ng all of the license rights granted herein;

ii. that infringes on any of the foregoing intellectual property rights of any party, or its Content that you do not have a right to make available under any law, regulation, contractual or fiduciary relationship(s);

iii. that is harmful, abusive, unlawful, threatening, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy or other rights, hateful, racially, ethnically objectionable, disparaging, relating or encouraging money laundering or illegal gambling or harms or could harm minors in any way or otherwise unlawful in any manner whatsoever;

iv. that harasses, degrades, intimidates or is hateful towards any individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

v. that violates any local/equal employment laws, including but not limited to those prohibiting the stating, in any advertisement for employment, a preference or requirement based on race, color, religion, sex, nationality, age, or disability of the applicant;

vi. that includes personal or identifying information about another person without the person’s explicit consent;

vii. that impersonates any person or entity, including (but, without limitation to) Toolz.ng’s employee, or falsely states or otherwise misrepresents an affiliation with a person or entity;

viii. that deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

ix.  that is false, deceptive, misleading, deceitful, misinforming, or constitutes “bait and switch” offer;

xi. that constitutes or contains “pyramid schemes“, “jokes”, “affiliate marketing,” “link referral code,” “junk mail,” “spam,” “chain letters,” or unsolicited advertisements of a commercial nature;

xii. that constitutes nuisance or contains any form of advertising or solicitation if (1) posted in areas or categories of the Website which are not designated for such purposes; or (2) emailed to Toolz.ng users who have requested not to be contacted about other services, products or commercial interests;

xiii. that includes links to commercial services or Third Party Websites, except as specifically allowed by Toolz.ng;

xiv. that advertises any illegal services or the sale of any items which is prohibited or restricted by applicable laws, including (but, without limitation to) items that (a) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment or any other computer resources, (2) disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Service, or that otherwise negatively affects other users’ ability to use the Service; or (3) employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Service.

Additionally, you agree to not:

i. contact anyone who has asked not to be contacted, or make unsolicited contact with anyone for any commercial purpose, specifically, contact any user to post advertisement on a third party Website or post any advertisement on behalf of such user; or to “stalk” or otherwise harass anyone;

ii. make any libelous or defamatory comments or postings to or against anyone;

iii. collect personal data about other users or entities for commercial or unlawful purposes;

iv. use automated means, including spiders, robots, crawlers, data mining tools, or the like to download or scrape data from the Service, except for internet search engines (e.g,. Google) and non-commercial public archives that comply with our Service;

v. post Content that is outside the local area or not relevant to the local area, repeatedly post the same or similar Content, or otherwise impose unreasonable or disproportionately large loads on our servers and other infrastructures;

vi. post the same item or service in multiple classified categories or forums, or in multiple metropolitan areas;

vii. attempt to gain unauthorized access to computer systems owned or controlled by Toolz.ng, or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Service or the Website.

viii. use any form of automated device or computer program (sometimes referred to as “flagging tools“) that enables the use of Toolz.ng‘s “flagging system” or other community control systems without each flag being manually entered by a human that initiates the flag (an “automated flagging device“), or use any such flagging tool to remove posts of competitors, other third parties or to remove posts without reporting to Toolz.ng, with a reasonable good faith belief that the post being reported violates these Terms or any applicable law or regulation; or

ix. use any automated device or software that enables the submission of automatic postings on Toolz.ng without human intervention or authorship (an “automated posting device“), including the use of any such automated posting device in connection with bulk postings, or for automatic submission of postings at certain times or intervals.

Any Content uploaded by you shall be subject to relevant laws and may be disabled, or may be subject to investigation under appropriate laws. 

Furthermore, if you are found to be in non-compliance with the laws and regulations, these terms, or the privacy policy of the Site, we may terminate your account/block your access to the Sites and we reserve the right to remove any non-compliant Content uploaded by you.
